TERMS & CONDITIONS

Welcome to Aqua Clear Werrington Pool & Spa, a business based in Australia with the Australian Business Number (ABN) 576 577 621 80. Our terms and conditions outline the agreement between our business and our clients.

  1. DEFINITIONS

In these terms and conditions, the following words have the following meanings:

  • “Business” means Sunnydayze Pools Pty Ltd T/A Aqua Clear Pool & Spa Shop Werrington.
  • “Client” means any person or entity that purchases services from the Business.
  • “Services” means the website design and build services offered by the Business.
  1. ACCEPTANCE OF TERMS AND CONDITIONS

By engaging the Business to provide Services, the Client agrees to be bound by these terms and conditions.

  1. SERVICES

The Business will provide the Services to the Client as agreed between the parties in writing.

  1. CLIENT’S OBLIGATIONS.

The Client agrees to:

  • Provide the Business with all necessary information and materials required to complete the Services;
  • Cooperate with the Business and respond promptly to any requests for information or feedback;
  • Review and approve all work submitted by the Business in a timely manner;
  • Pay the Business for the Services in accordance with clause 5.
  1. PAYMENT.

The Client agrees to pay the Business for the Services as follows:

  • A deposit of 50% of the total fee is required to commence work;
  • The balance of the fee is payable upon completion of the Services;
  • If the Client requests changes to the Services after the Business has commenced work, the Business reserves the right to charge additional fees for such changes.
  1. INTELLECTUAL PROPERTY.

The Client acknowledges that all intellectual property rights in the Services, including any design elements or code, remain the property of the Business until full payment is received. Once full payment is received, the Business will transfer ownership of the intellectual property rights to the Client.

  1. CONFIDENTIALITY.

The Business and the Client agree to keep confidential all information disclosed to each other during the course of the Services, except to the extent necessary to perform the Services or as required by law.

  1. WARRANTIES AND LIABILITY.

The Business warrants that the Services will be performed with reasonable care and skill. The Client acknowledges that the Business is not liable for any loss or damage that may arise from the Services, including but not limited to loss of data, loss of business or loss of profits, except where such loss or damage is caused by the gross negligence or wilful misconduct of the Business.

  1. TERMINATION

Either party may terminate the Services at any time by providing written notice to the other party. Upon termination, the Client must pay the Business for all work completed up to the date of termination.

  1. GENERAL
  • These terms and conditions may only be amended in writing by agreement between the parties.
  • These terms and conditions are governed by the laws of Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Australia.
  • These terms and conditions represent the entire agreement between the parties and supersede all prior negotiations, understandings and agreements between them.
  • If any provision of these terms and conditions is held to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

By engaging the Business to provide Services, the Client acknowledges that they have read, understood and agree to these terms and conditions.
